You acknowledge and agree that We and Our partners are entitled to retain any revenue generated from the display of advertising, promotional campaigns, content syndication, and distribution arrangements that include or feature any of the Posted Content you submit.

User Conduct for Posted Content

• Do not post comments, reviews, or content that is illegal, threatening, defamatory, obscene, invasive of privacy, or infringing of intellectual property rights.
• Your content must not contain software viruses, commercial solicitation, political campaigning, mass mailings, chain letters, or “spam.”
• Do not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of a comment or other content.

We reserve the right (but not the obligation) to remove or edit such content, but do not regularly review posted content. We have the right, but not the obligation, to oversee and edit or remove any activity or content. We claim no responsibility and assume no liability for any Posted Content uploaded by you or any third party to the Site.

Use Restrictions and Registration

• You may not use or register with the Site if you are under eighteen (18) years of age. However, certain services (such as purchasing products, entering sweepstakes, or participating in sampling/product gifting programs) may require you to be 18 years old.

Miscellaneous Terms

This Agreement (including all referenced or incorporated policies, agreements and other provisions) constitutes the entire agreement between you and Local Home Pros and supersedes all prior or contemporaneous oral or written agreements or other communications between the parties with respect to the subject matter hereof. If a conflict between the language of this Terms of Use Agreement and the language of any terms incorporated by reference, the latter incorporated terms shall control.

You acknowledge and agree that, in entering into this Agreement, you are not relying on any representation, warranty, statement or promise, express or implied, not explicitly set forth in this Agreement, and you hereby waive any claimed reliance on same. If any provision of this Agreement shall be found to be invalid or unenforceable, you agree such provision shall, to the maximum extent feasible, be modified to render it enforceable and to reflect the intent of the provision as considered in the context of this Agreement as a whole. Such invalidity or unenforceability shall not affect the validity or enforceability of this Agreement as a whole or of any other provision.

Terms Applicable to Home Services Request

Local Home Pros is not a licensed home services provider and does not provide service quotes directly. The information provided is not intended as a substitute for professional advice from a licensed service provider, nor does it evaluate service providers or their licenses. We recommend that all consumers consult with a licensed professional before purchasing any services.

Indemnity

You agree to indemnify and hold Us, Our parents, subsidiaries, affiliates, officers, directors, sub-licensees, employees, successors, and assigns harmless, from and against any claims, liabilities, costs, and expenses, including attorneys’ fees, from any claim, action, demand, damage, or expense due to or arising out of:

• Your access to the Site
• Your use of the services
• Violation of these Terms or any applicable laws
• Infringement by you, or any third party using your account or credentials, on the rights of any person or entity
• Any content you post on this Site

Choice of Law, Disputes, and Jurisdiction

However, to the extent you violate or threaten Our intellectual property rights, We may seek appropriate relief in California state courts and you consent to such jurisdiction.

Statute of Limitations: Any cause of action or claim you may have relating to these Terms or the Site must be commenced within one (1) year after it accrues, otherwise it is permanently barred.

Dispute Resolution and Arbitration (PLEASE READ CAREFULLY)

• Any dispute resolution proceedings will be conducted only on an individual basis—not as a class/consolidated/joined/representative action. The parties expressly waive all rights to participate in such actions.
• Disputes regarding the arbitrability or interpretation of these provisions are themselves subject to arbitration.
• Even if these Terms are modified, such modifications do not apply to disputes arising before the date of the change.

Arbitration Agreement

MANDATORY AGREEMENT TO ARBITRATE ON AN INDIVIDUAL BASIS. By agreeing to these Terms, you agree to resolve any and all disputes or claims (including those involving affiliates, officers, directors, employees, and agents) relating in any way to our relationship, your use of our Site or services, or any products/services offered through our Site or services via negotiation and, if not resolved, through final and binding arbitration.

• Disputes will be submitted to a single arbitrator under the then-current Commercial Arbitration Rules of the American Arbitration Association (AAA). Arbitration venue and cost allocation are set by AAA rules. For more information, visit www.adr.org.
• As permitted by your jurisdiction, you or we may alternatively bring a claim in your local “small claims” court.
• The Federal Arbitration Act governs this arbitration agreement and any questions about its interpretation or enforcement. The arbitrator will determine whether a dispute is arbitrable.
• Both parties waive the right to trial by jury and to participate in any form of class or representative proceeding. Claims not eligible for arbitration remain separate.
• If the prohibition on class actions is found unenforceable, it is null and void for that dispute only.
• This agreement to arbitrate survives termination of your relationship with us.
• All aspects of the arbitration, rulings, decisions, and awards are strictly confidential as permitted by law.
• You may opt out by emailing privacy@LocalHomePros.org within 30 days of agreeing to these Terms.
• If the arbitration agreement is found unenforceable or does not apply to your claim, such disputes must be brought exclusively in a state or federal court in California.

Miscellaneous

This Agreement (as well as all Disclosures, E-Consent, Credit Authorization, and any consent/acknowledgement/confirmation/authorization on our Site) constitutes the entire agreement between you and us regarding your use of the Site and Services, superseding prior proposals and communications. If any part is held invalid or unenforceable, it is construed to reflect the parties’ original intent and the rest remains in force. A waiver of any term or breach does not waive subsequent breaches. Your rights and obligations are not assignable/transferable without our written consent. This Agreement benefits the parties, their successors, and permitted assigns. No agency/partnership/joint venture/employee relationship is created by this Agreement. There are no third-party beneficiaries except as set forth herein. Headings are for convenience only.
